Juggler Individual Contributor License Agreement

Version 1.0 — effective 17 July 2026

Thank you for your interest in contributing to Juggler. This Individual Contributor License Agreement (the “Agreement”) is between you and Julian Storer (“Juggler,” “we,” “us,” or “our”). It records the rights you grant for contributions to the Juggler project. You retain ownership of your contributions.

This Agreement is in addition to the Developer Certificate of Origin sign-off required for each commit. If an employer or another legal entity may own rights in your contribution, you must also arrange for that entity to execute the Corporate Contributor License Agreement (CCLA.md).

By signing this Agreement through Juggler’s documented electronic-signature process or in writing, you agree to these terms for contributions you submit on or after the effective date and for future contributions unless this Agreement is terminated as described below.

1. Definitions

“Contribution” means an original work of authorship, or a modification or addition to an existing work, that you intentionally submit through a Juggler source-code repository, pull request, or other contribution channel we identify in writing, for inclusion in or improvement of the Project.

General feedback, abstract ideas, support requests, private communications, and security reports are not Contributions unless you clearly designate the copyrightable material in them as a Contribution. Material conspicuously marked “Not a Contribution” is not a Contribution.

“Project” means the open-source Juggler materials maintained at https://github.com/juggler-ai/juggler and any successor repository we identify in writing.

“Applicable Open-Source License” means the open-source license covering the part of the Project to which a Contribution is submitted on the date of that submission. At this Agreement’s effective date, that is AGPL-3.0-or-later for the application and Apache-2.0 for web/sdk/** and web/extensions/**, as explained in LICENSING.md.

2. Copyright

You retain ownership of your Contribution and reserve all rights not expressly granted by this Agreement.

You grant us and recipients of software distributed by us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contribution and derivative works of it.

This license includes our right to license and distribute your Contribution and derivative works:

  1. under the Applicable Open-Source License;
  2. under another open-source license; and
  3. under proprietary or other closed-source terms, including as part of a commercial edition of Juggler, with or without source code.

We may relicense and sublicense your Contribution under those terms and are not obliged to include it in the Project or any product.

Open-source availability commitment. If we include your Contribution in the Project, we will also make that Contribution available under the Applicable Open-Source License. Commercial or proprietary licensing by us or a successor does not revoke or replace that open-source availability.

This is a license, not an assignment of your copyright.

3. Patents

You grant us and recipients of software distributed by us a perpetual, worldwide, non-exclusive, royalty-free patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer your Contribution. This license applies only to patent claims that you can license and that are necessarily infringed by your Contribution alone or by its combination with the Project to which you submitted it.

If a recipient of a patent license under this Agreement institutes patent litigation against you or any other entity, including a cross-claim or counterclaim, alleging that your Contribution or the Project to which it was submitted directly or contributorily infringes a patent, the patent licenses granted under this Agreement to that recipient for that Contribution terminate on the date the litigation is filed.

4. Moral rights

To the extent permitted by law and only as necessary for us, our licensees, and our successors to exercise the rights granted by this Agreement, you waive and agree not to assert moral rights in your Contribution against them. Where moral rights cannot be waived, you agree not to enforce them in a way that frustrates those granted rights. Nothing in this section limits attribution required by an Applicable Open-Source License.

5. Your representations

You represent that:

  1. each Contribution is your original creation, or you otherwise have the right to submit it and grant the rights in this Agreement;
  2. to the best of your knowledge, those rights do not conflict with an obligation to an employer or another party;
  3. if an employer or another party may own relevant intellectual-property rights, you have obtained permission or a waiver and, where requested, that party has executed Juggler’s CCLA; and
  4. you will promptly notify us at julianstorer@gmail.com if you later learn of facts that make these representations materially inaccurate.

You are not required to support your Contribution. Except for the representations in this section, and to the maximum extent permitted by law, your Contribution is provided “AS IS”, without express or implied warranties or conditions, including warranties of merchantability or fitness for a particular purpose.

6. Third-party material

Do not submit material created by a third party as your own Contribution. If you want us to consider third-party material, identify it separately and provide its source and all licenses or restrictions, including relevant patent or trademark information, of which you are aware. Mark it conspicuously as “Submitted on behalf of a third party: [name].” Acceptance is at our discretion and is not evidence that the material is legally suitable.

7. Developer Certificate of Origin

This Agreement does not replace the per-commit certification required by the Developer Certificate of Origin 1.1. Every commit must contain a matching Signed-off-by: line, as described in CONTRIBUTING.md.

8. Termination

You may stop making future Contributions at any time. You may terminate this Agreement for Contributions submitted after we receive written notice at julianstorer@gmail.com. Rights already granted for Contributions submitted before termination remain effective and irrevocable.

9. Assignment and successors

We may assign this Agreement and its rights and obligations only to a bona fide successor to the Project or in connection with a merger, acquisition, reorganization, or sale of all or substantially all assets or business relating to the Project. The successor must agree in writing to assume our obligations, including the open-source availability commitment in Section 2. We will publish notice of a change in the receiving party in the Project repository.

10. General

This Agreement is governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction over disputes arising from it.

This Agreement is the entire agreement between you and us concerning your Contributions and supersedes earlier contributor agreements on that subject. A material amendment applies to you only if you accept a new, identified version in writing or through our electronic-signature process. We may make non-material administrative corrections without requiring a new signature, but we will not alter this versioned text in place.

If a provision is unenforceable, it will be reformed only as much as necessary, and the remaining provisions continue in force. Failure to enforce a provision is not a waiver. Nothing in this Agreement grants rights in either party’s trademarks, trade names, or personal identity except as necessary to identify the Project, the Contribution, or its authorship.

Notices under this Agreement must be sent to julianstorer@gmail.com. Our handling of contributor-agreement records is described in CONTRIBUTOR-AGREEMENT-PRIVACY.md.

11. Electronic signature

For the GitHub account from which you sign, posting the exact assent statement specified by Juggler’s CLA check constitutes your electronic signature. The statement identifies this Agreement by version. You consent to electronic records and signatures and may save a copy of this file and the signing comment for your records.

By signing, you confirm that you have read and agree to Juggler Individual Contributor License Agreement version 1.0 and that the GitHub account used to sign is yours.

A written counterpart may instead be arranged through julianstorer@gmail.com. It should record your full name, GitHub username, email address, date, signature, and this Agreement’s version.
